House of HR has a unitary governance structure at group level. The House of HR leadership is made up of a Board of Directors, an Audit Committee, a Remuneration & Nomination Committee, an Executive Committee, an Innovation and an ESG Committee, a Leadership Team and a Group Risk and Internal Audit Team.
Board Of Directors
Since its creation in 1995 the Group has relied on strong financial support. Since 2012, Naxicap Partners from France are a solid financial and strategic partner.
They can count on a strong strategic team of board members with relevant expertise and knowledge in HR and other various industries.
The Executive Committee (ExCom) reports to the CEO of House of HR and works with the Board of Directors on topics such as corporate governance, general management and the implementation of the corporate strategy as defined by the Board of Directors.
The Leadership Team consists of the CEO, the members of the ExCom and all CEO’s of the PowerHouses in the Group. The Leadership Team reports to the CEO of House of HR. It is advising to the CEO and the ExCom and reflects on the strategy as set out by the Board of Directors. By doing so, it pushes the Group to a higher level of strategic planning and long-term success, as a result of the combination of many different opinions and local views, experiences, market trends and long-term strategy in different European countries.
This Committee is responsible for delivering strategic advice to the Board of Directors on innovation and (new) digital initiatives. Several applications resulted from this innovation advice, such as NowJobs, Gighouse and SWOP.
The ESG Committee has the task to advise, support and follow-up on the House and all its PowerHouses’ ESG (Environmental Sustainable and Governance) initiatives. They review and monitor the ESG strategy, the performance and reporting and act as the safeguard of the implementation of all goals, timings and KPI’s involved.
Audit & Risk Committee
This Committee advises the Board of Directors on its responsibility to ensure that the financial reports are fair, balanced and understandable. It provides the information needed for shareholders to assess the Group’s position, performance, business model and strategy. The Committee is also monitoring and reviewing all risk and control activities and reports about this task to the Board of Directors, as the Board of Directors has the ultimate responsibility for maintaining a strong set of internal controls, and for overseeing, reviewing and ensuring the effectiveness of the risk management and internal control systems. House of HR has a governance and control charter ('GERMP') signed by all PowerHouses in the Group.
The Audit Committee consists of Aurélien Dorkel, Conny Vandendriessche and Astrid Heiremans, who is appointed Chairman of the Audit Committee. Abdel Bencheikh, Group Head of Risk & Internal Audit, acts as its secretary.
Remuneration and Nomination Committee
The Remuneration and Nomination Committee is responsible for considering and making recommendations to the Board of Directors on the general policy on executive and senior management remuneration, overall remuneration packages for executive directors, and the design and operation of the Group’s share incentive plans.
Next to that, this Committee makes recommendations to the Board of Directors on the appointment or succession of senior management.
The Remuneration and Nomination Committee consists of Conny Vandendriessche, Aurélien Dorkel and Paul Thiers.
